Kiwibank's parent company has expressed interest in a potential merger with TSB Bank, just as a community group heads to the High Court to block the proposed Heartland Bank merger.

The chair of Kiwibank’s parent company has opened the door to a potential merger with TSB, as opposition to the bank's current merger plans with Heartland Bank is set to reach the High Court tomorrow.

Speaking to BusinessDesk, McLean said the state-owned holding company does not want to interfere in the proposed merger between TSB and Heartland, but they would be interested in "getting together" with the Taranaki institution.

The comments come at a critical time for the future of TSB. A group called the Taranaki Community Accountability Society has been formed to seek an interim injunction stopping the Heartland merger, with a court hearing scheduled for tomorrow.

Chartered accountant Kevin Landrigan, former TSB chair Elaine Gill, and Aorangi Bobbie Matsuda are leading the society. They are fighting to keep the bank 100% locally owned and have publicly criticised the sale process.

Financial institutions TSB and Heartland announced plans to join forces in June to create TSB Heartland Bank. Under the $620 million proposal, TSB owner Toi Foundation would sell its entire shareholding to Heartland Group. In return, the community trust would take a 17.5% stake in the newly formed bank, alongside debt and a vendor loan.

This move would establish New Zealand's sixth-largest home loan provider and increase the foundation's income stream for regional grants.

Despite the promised benefits, the proposal has faced strong resistance. Many residents fear the region will lose control of its historically independent bank.

Public consultation on the deal recently concluded. The Toi Foundation officially closed the feedback period on August 12, having been forced to reopen submissions due to an earlier date miscalculation.

Trustees are now considering the community response and are expected to make a final decision later this month. If the foundation approves the deal, the merger will still require backing from Heartland shareholders at a September 30 meeting, followed by clearance from the Reserve Bank.

McLean made it clear Kiwibank is not attempting to derail tomorrow's court proceedings or the existing Heartland deal. However, his public declaration of interest presents a major alternative for TSB if the Heartland merger falls through.

A merge with Kiwibank, which was a Jim Anderton lead idea to do for our nation what New Plymouth Savings Bank growing into Taranaki Savings Bank was created to do for Taranaki. To underpin the Taranaki economy at just over being profitable with any surplus profit being redistributed as community grants. Like your local sports club rather than a maximising profits private corporation. Under our free trade agreements the government is not allowed to make loans to a commercial bank to then have them compete against foreign owned private banks with an unfair advantage, which is why the government can't simply give Kiwibank the capital it needs to get bigger and better. Kiwibank could become stronger if the government and local government accounts were transfered to it, but this could be questioned under FTA bindings, but if our community owned bank meged with our state owned bank boosting its capital reserves by the 500 million it is said is needed to allow it to compete on a level footing with the foreign privately owned banks that dominate our economy could be a marriage made in heaven. It could also allow Jim Anderton to rest in his grave and put an end to the talk of Kiwibank needing to be privatised. This present robbing of our community bank from the inside needs to be stopped and deeply investigated for conflicts of interest on so many grounds it is not funny. The business case and payment method of this exchange, the self confessed selling at a 20% discount to its true value, are madness. We need to get access to the initial contact stages to see if the approach was truly unsolicited and if an open tender was truly put out for any other interested parties.

I think you will find it would not fit the hidden race based agenda and the unchecked conflicts of interest of the Toi Foundation . The TSB does not need to do anything it is a great financially sound bank ! The reasons to justify the sale put up by Toi are complete BS !

Didn't the government at the time approach TSB about running Kiwibank or having Kiwibank branches run in conjunction with TSB branches. I think the responce was a flatout no. So why is the TSB so determined to expand absorb or sell out now. What's the plan? Will it be of benafit to Taranki or do you see risks to the banks viability in the future?

Kiwibank proposition appears much more likely and a better way of approaching the matter. I would like more details of Heartland offer. What does " In return, the community trust would take a 17.5% stake in the newly formed bank, alongside debt and a vendor loan: mean in dollar terms? or is this part of the big mystery.!!! My concern is what happens if they don’t merge, can TSB actually survive in a fragile and highly competitive market? I am just conscious that sometimes we need to be careful for what we wish for as the outcome of no change could end up being worse!

Kiwi bank is a big step down though in terms of service. When you phone TSB you can usually get through to a person with no hold time.

TSB is the best bank in MZ and is fully NZ owned. Even their online banking is now as good as other main banks.

If I wanted to bank with the woke Kiwibank or Heartland, I'd be banking with them! Heads need to roll on the Toi board imo... Been with TSB bank since forever ago, probably 40 years, if it aint broke, leave it tf alone!

All the Nana’s that are moaning about Heartland (I use them & find very good), would hate it if Kiwibank joined TSB. Would be a backwards step, while joining Heartland is a much positive move & would add significant value to Toi & thus greater input of resources into the Taranaki Area.

After 51 years this was my bank, the people's bank, I don't like what I see. Most of my $s have been removed the last will be a little further down the track. Then im done with tsb. "toi"

Please dont do it. TSB bank has been the oldest bank in our region for a very long time what is the main reason for this merger is it money or is it just because the foundation cant be bothered to keep people employed locally so they would rather another bank buy it. I personally will stop using tsb completely if this bs goes through

This is the better path — for Taranaki, and for New Zealand. TSB was built by the community, for the community. Its purpose has always been to serve local people and return surplus to the region. The Heartland deal ends that. It sells the bank to a private, profit-maximising entity — reportedly at a 20% discount — and shifts control out of Taranaki. Once that happens, there's no going back. The Kiwibank option is completely different. 🟢 Keeps TSB's community purpose alive. 🟢 Strengthens Kiwibank so it can genuinely compete with the Australian-owned big four. 🟢 Keeps banking profits in New Zealand instead of sending them offshore. 🟢 Ends the constant talk of privatising Kiwibank — a merged public-community bank would be too strong and too clearly ours to sell. 🟢 Gives Taranaki a real stake in a national banking champion instead of a minority share in someone else's bank. Why would you sell a 150-year-old community asset at a discount when a better partner is right there? The Toi Foundation trustees don't have to settle for the first offer. The community is fighting, the High Court is involved, and now a genuine alternative has emerged. Pause the process. Explore the Kiwibank option. Put people before profit. Once TSB is gone, it's gone. Don't let that happen when a better path is sitting right in front of you.
